Emergency services responded to reports of an assault in Trinculo Place under the Queens Bridge about 9.30am.
Officers from Monaro Police District found a 46-year-old man semi-conscious.
He was treated by NSW Ambulance paramedics at the scene before being taken to Queanbeyan District Hospital, where he later died.
Police allege the injured man had been approached by another man and was repeatedly punched before collapsing.
A crime scene was established on Trinculo Road, with a second crime scene established at a nearby hotel. Both have been examined by specialist forensic officers.
Detectives from Monaro Police District - assisted by detectives from State Crime Command's Homicide Squad - established Strike Force Jinalee to investigate the circumstances surrounding the man's death.
A 50-year-old man was arrested at a home on Lowe Street, just before 12.30am on Friday.
He was taken to Queanbeyan police station, where he was charged with manslaughter, assault occasioning actual bodily harm and custody of a knife in a public place.
The man was refused bail and will appear before Wollongong Local Court on Saturday.
Investigations into the incident are continuing.
